Conclusion of contract

1. Conclusion of the contract 1.1 By completing the request form, you agree to the general terms and conditions listed below. 1.2 By completing the request form, you are submitting a request to participate in the Retreat. Submitting the request form does not guarantee you a place at the Retreat. 1.3 The booking shall only become binding upon receipt of the deposit and the corresponding booking confirmation. Once the contract has been concluded, you will receive all necessary information about the Retreat. 1.4 Should there be any discrepancies in the information in the booking confirmation compared to the description on the website www.skateandflow.com, the booking confirmation constitutes the new offer. If no objection is made within 10 calendar days of receipt of the booking confirmation, these changes shall be deemed accepted by the customer.

Payments

2. Payments 2.1 A deposit of 30% of the total price is required for the conclusion of the contract. The remaining amount must be paid no later than 65 days before the start of the Retreat. 2.2 For bookings made within 65 days before the start of the Retreat, a deposit of 30% of the total price is due immediately. The remaining balance must be paid no later than 30 days before the start of the Retreat. 2.3 If payment deadlines are not met, Skate & Flow is entitled to withdraw from the contract and claim compensation.

Services

3. Services 3.1 The contractually owed services are determined by the service description published on the website www.skateandflow.com at the time of booking, in conjunction with the information provided in the written confirmation. 3.2 Changes and deviations from essential characteristics of Retreat Services, which arise after the conclusion of the contract, are permitted only if they are not significant and do not affect the overall design of the Retreat. 3.3 Skate & Flow will promptly inform you of any significant changes to Retreat Services and your associated rights. 3.4 In the event of a significant change to an essential feature of a Retreat Service, you are entitled to either accept the change or withdraw from the contract free of charge within 7 days. You may choose whether or not to respond to this notification. If you do not respond to Skate & Flow or do not reply within the stated deadline, the notified change will be deemed accepted. This will be clearly and comprehensively indicated in the declaration of change. 3.5 Skate & Flow is not a package travel service. Flights and transportation to the Retreat are not included, and participants are responsible for their own travel arrangements. Skate & Flow provides an event-based experience and is not responsible for individual travel arrangements or any related risks. 3.6 Warranty and Notification of Defects Skate & Flow undertakes to perform the agreed services with due care and to the best of its knowledge and belief. The quality of the services is determined by the contract or the service description. The customer is obliged to notify any defects in writing without undue delay, at the latest within seven days after their discovery. In the case of a justified and timely notice of defects, Skate & Flow has the right to remedy the defect. If remediation fails, the customer may demand an appropriate reduction of the fee or, in the case of substantial defects, withdraw from the contract.

Cancellation policy and costs

4. Cancellation policy and costs 4.1 If you need or wish to withdraw from the Retreat at any time before its start, you must declare your withdrawal to us at the following email address: hello@skateandflow.com. 4.2 In the event of your withdrawal or failure to commence the Retreat, the following graduated compensation and refund policy applies according to the date of withdrawal prior to the Retreat start: - up to 90 days before the start: Full refund, no payment due. - 89 to 45 days before the start: 50 % of the Retreat price is due; 50 % will be refunded. - from 44 days before the start: Withdrawal is not possible; 100 % of the Retreat price is due and no refund will be given. 4.3 If the Retreat is cancelled in its entirety by Skate & Flow, you will receive a full refund of all payments made, including the deposit. Any further claims for compensation are excluded.

Transfer to a third party

5. Transfer to a third party You can transfer your contract to a third party up until the start of the Retreat. If you wish to make use of a transfer, please let us know immediately. You will not be charged any additional costs. The replacement person must meet all special travel requirements (health, passport, visa, etc.). Skate & Flow is entitled to refuse the transfer if the third party does not meet these requirements or if their participation conflicts with legal regulations or official orders. In this case, the cancellation rules as set out in Section 4 above shall apply.

Rules of conduct and exclusion

6. Rules of conduct and exclusion Participants are required to adhere to the Retreat’s rules of conduct and to respect other participants, staff, and property. The organizer reserves the right to exclude any participant from the Retreat with immediate effect in cases of gross violations of these rules, dangerous behavior, or failure to comply with instructions. In such cases, no refund will be granted, and any additional costs incurred as a result of exclusion must be borne by the participant.

Participant's duties

7. Participant's duties Participants are responsible for complying with all local laws, visa, and health regulations, as well as the house rules of the accommodation and the instructions of the Retreat staff. Failure to do so may result in exclusion from the Retreat without the right to a refund.

Unused services

8. Unused services If you do not make use of individual services that were duly offered and that we were willing and able to provide in accordance with the contract, for reasons attributable to you (e.g., due to premature termination of the Retreat or other compelling reasons), you are not entitled to a proportional refund of the Retreat price. As a general rule, no refund will be granted in such cases. However, if you withdraw from the contract due to essential changes to the services or if the Retreat cannot take place, you will receive a full refund in accordance with our Playbook. We expressly recommend that you obtain cancellation or return travel insurance.

Liability Disclaimer

9. Liability Disclaimer 9.1 Participation is voluntary and at the participant’s own risk. Skate & Flow includes physical activities such as longboard riding, freestyle skating, yoga, and other movement-based experiences. By participating in the Retreat, you acknowledge that these activities involve inherent risks, including the risk of injury, and you agree to this liability disclaimer. 9.2 By registering for Skate & Flow, you confirm that you are physically and mentally fit to participate, that you take full responsibility for your own health and safety, and that you participate at your own discretion and within your personal limits. Participants are responsible for assessing their own abilities and deciding whether to participate in specific activities at any given time. The organizer, instructors, coaches, and partners of Skate & Flow cannot be held liable for any injuries, accidents, loss, or damage to personal property that may occur during or in connection with the Retreat, except in cases of gross negligence or willful misconduct. 9.3 Participants are responsible for their own health, travel, and personal insurance. It is strongly recommended that all participants hold valid travel, health, and accident insurance covering sports and physical activities abroad. By participating, you confirm that you have no medical conditions that would prevent safe participation.

Force majeure

10. Force majeure If the Retreat cannot take place as planned due to unforeseeable events beyond the control of Skate & Flow (such as natural disasters, epidemics, acts of government, or civil unrest), both parties are released from their contractual obligations. In such cases, you will receive a refund of all payments made. Claims for damages or compensation beyond this refund are excluded. Skate & Flow is not responsible for events beyond its control, including but not limited to weather conditions, natural occurrences, or actions by third parties.

Photo and video content

11. Photo and video content 11.1 If you have expressly consented to photo or video recordings being made during the Retreat (e.g., during the booking process), these may be used as follows: a) Consent for unrestricted use: Photo and video recordings made during the camp may be used for advertising purposes (e.b. the organizer’s website or social media such as Instagram). Your consent can be revoked at any time. b) Consent exclusively for provision to Retreat participants: Photo and video recordings made during the Retreat may only be used for publication in a data cloud, which is accessible exclusively to the participants of the booked Retreat. c) No consent: No images of you will be used or stored on any storage medium. 11.2 The images from the cloud, which participants receive at the end of the Retreat, are to be used exclusively for private purposes. Commercial use or redistribution of these images is only permitted after prior consultation. Displaying the images on social media platforms such as Instagram or Facebook is allowed.

Data protection and privacy

12. Data protection and privacy Skate & Flow collects, processes, and stores personal information solely for the purpose of organizing and fulfilling the Retreat experience, in compliance with applicable data protection laws (including the Swiss Federal Act on Data Protection and, where relevant, the EU General Data Protection Regulation). You have the right to access, correct, or delete your personal data at any time. By submitting the booking request, you consent to the processing of your personal data for the purpose of fulfilling the contract.

Invalidity of individual provisions

13. Invalidity of individual provisions The ineffectiveness of individual provisions of the contract and the underlying terms and conditions does not result in the ineffectiveness of the entire contract or the terms and conditions. We expressly reserve the right to make changes to the information in the Retreat advertisement.

Governing law and jurisdiction

14. Governing law and jurisdiction The contract with the participant and these terms are governed by Swiss law. The place of jurisdiction is Zurich, Switzerland.
